These Terms of Use (as defined below) regulate the B2B sales contracts executed online for products presented on www.milorboutiqueb2b.com owned by Milor S.p.A. (hereinafter Milor) whose registered office is in Milan at Via dei Gracchi, 35 - Tax Code and VAT Number 04362490155.

The subject of these Terms of Use is the use of the Platform (as defined below) and its functions. This agreement, as well as the cookie and privacy policies, establish the rules for accessing and using the Platform.

These terms apply exclusively to online sales where the buyer (User) is a person who purchases for business or professional reasons and not for personal reasons as a final consumer.

By browsing the Platform, registering or using its features (as defined below), the User declares to have read and understood the terms and conditions of these Terms of Use and to fully accept every provision. Full acceptance of the Terms of Use is a necessary condition for using the Platform's functions as established therein. If the User does not intend to accept these Terms of Use, they should immediately refrain from browsing, cease registration on the Platform and not access, view, download or otherwise use any page, content or service offered by the Platform.

"User" refers to small and medium-sized enterprises, companies, distributors or agents who use the Platform and make purchases not as final consumers by accepting the Terms of Use and its functionalities.

"Conditions of Use" refers to these conditions of use and any other document referred to therein or attached thereto, governing the relationship between Milor and the User;

"Content" means the information and/or data contained in the Platform;

"Platform" refers to the platform owned by Milor accessible at the URL www.milorboutiqueb2b.com to conclude B2B contracts;

Terms in the singular include the plural and vice versa, as permitted or required by the context. 

The Platform is aimed at favouring the purchase of one or more Milor S.p.A. products.

The use of the Platform and registration thereon is allowed only to Users who, according to the applicable legislation, are legally capable of acting.

Any interested Users can register on the Platform and indicate their personal data using the relative online forms.

Access to the Platform may be occasionally suspended or temporarily limited for the execution of necessary maintenance works, repair or updating with new services and products. Milor will endeavour to minimise the frequency and duration of such suspensions and/or limitations. Milor cannot guarantee that the Platform is free from viruses or other potentially dangerous components for Users' devices. The User accepts that the use of the Platform is at their own risk.

The use and correct functioning of the Platform may, at times, be limited due to functionality, restriction or problems related to the reference market or the tariffs of the data plan of each User, reasons for which "Milor" is not in any responsible way.

Each User using the Service undertakes to:

1. act following applicable legislation;

2. provide information that is accurate, up-to-date, non-confidential and not harmful to intellectual property rights or other rights of third parties;

3. diligently guard the credentials access the account. The User is solely responsible for its security and secrecy. If the User suspects any unauthorised access to their account or profile by a third party, the User shall contact Milor immediately, and change their password as soon as possible. Milor undertakes no responsibility for any damage deriving from the non-diligent custody of the login credentials by the User to access the Platform;

4. not to transmit, upload, or otherwise make available viruses, threats, unsolicited advertising content, unsolicited or unauthorised promotional materials, including any form of spam;

5. not to use the Platform to transmit unauthorised commercial messages;

6. not to damage, interfere or interrupt access to the Platform and its Contents, nor to perform actions that could alter its functionality or interfere with the access of other Users to the Platform and their Content;

7. not to use the Platform in an illegal or harmful way to Milor or any other Platform User.
   

Milor may restrict, suspend or terminate the User's account in the event of their violation of the aforementioned rules. Terminating an account will result in the loss of access to the Platform and any data connected thereto.

Purchase Orders shall be made exclusively online through the order procedure on the site, exclusively by users, whether they are individuals or corporate body acting for purposes related to their business activity. By accessing the Platform, the User can select which products to purchase, inserting them in the virtual cart that they can browse its content before proceeding with the order. During the order formulation phase, until the order is forwarded, the customer can modify the data entered. 

By sending the Order, the User declares to have read, acknowledged and accepted the general conditions of sale indicated on the Platform and declares to have read every bit of information provided during the purchase procedure. 

Milor, having received the Order, will automatically send an email to the account communicated by the User containing the Order's confirmation of receipt. The order confirmation will summarise the products chosen by the User, relative prices, order number and the general online sales conditions.

The Order is considered concluded only when the User receives a separate email with the express acceptance of the purchase proposal. 

At any time, the User will be able to change their password or send a request to delete their account from the Platform.

The User can delete their account by sending an email to sales@milor.it. Following the cancellation, the User will receive an automatic communication by email confirming the request's receipt, specifying that the account will be deactivated.

With the cancellation of the request, Milor guarantees the interruption of the use of data and other information relating to the User that they may have uploaded through the Platform, except for any processing permitted or required by law or by specific regulatory provisions.

By the user

1. The User expressly acknowledges and accepts that the Platform and its Contents are provided "as is" and "as available" at the time of their use.

2. The User is solely and exclusively responsible for the use and security of their email and accounts, including for the activities carried out through their use. The User is aware that, to regulate access to the service, the authentication procedure is required exclusively for checking the email address and the accounts used, except in cases expressly established by law for which it is necessary to provide identification data.

3. The User is fully and exclusively responsible for any damages that may arise against Milor or third parties, as a result of incorrect use, loss, theft and/or compromise of the confidentiality of the email account and other accounts used.
   

The User undertakes to provide all the information necessary to ascertain their identity's veracity that may be requested by "Milor" or any legal or administrative authority per the applicable laws.

Milor shall process the User's personal data according to the methods and terms specified in the privacy statement herein www.milorboutiqueb2b.com/privacy-policy  and in particular for marketing activities specified hereunder:

1. marketing purposes, through various tools, such as: 

   1. advertising via newsletters, website and social media platforms;

   2. sending specific messages and contents, concerning User preferences, with monitoring of message effectiveness.

The purposes pursued through the processing of personal data are:

1. inform the User about the Group's services and products;

2. better understand customers to improve services and marketing activities (also benefit the user experience);
   

Applicable Law and Jurisdiction. For any dispute concerning the interpretation or execution of the Conditions of Use, only Italian law will be applicable, excluding any conflict of law. In the event of disputes with Users, any dispute deriving from the interpretation, validity, execution of these Terms of Use or in any case inherent to or deriving thereof, will be subject to the exclusive and binding jurisdiction of the Court of Milan.

Integrations and Modifications. These Terms of Use constitute the entire agreement between the User and Milor and replace any previous or contemporary condition, agreement or declaration, either verbal or written, relating to the subject matter of the Terms of Use. Milor reserves the right to modify the Platform, site and any data contained therein, the policy and these Terms of Use for the Platform at any time. The User is subject to the Information Paper on the processing of personal data and the Terms of Use in force at the time, which can be consulted by clicking on the link "Terms of Use" on the Platform's main menu pages.

Storage. If any provision of these Conditions of Use is found to be unlawful, void, or unenforceable, that provision shall be amended to make it effective or otherwise deleted. This shall not affect the validity and enforceability of any remaining provisions.
